1. Parties and application
These Terms of Service (“Terms”) govern a merchant’s use of Orion Blend and Orion Blog (each an “App”), supplied by Fortress Fulfillment Ltd, company number 16303070, registered at 128 City Road, London, EC1V 2NX, United Kingdom, trading as Orion (“Orion”, “we”, “us” or “our”).
These Terms are intended for businesses using our Apps in connection with Shopify stores. By installing or using an App, you agree to these Terms on behalf of the business you represent, provided you are authorised to do so. If you do not agree, do not use the App.
2. Relationship with Shopify
Our Apps are independent third-party products made for the Shopify platform. Shopify is not a party to these Terms. Your use of Shopify is separately governed by the agreements and policies applicable to your Shopify account.
You must maintain a valid Shopify store and appropriate permissions to use the App. Feature availability may depend on your Shopify plan, theme, store configuration and third-party services.
3. The Services
Orion Blend provides storefront presentation and design functionality through Shopify theme integrations. Orion Blog provides tools for blog and article presentation, navigation and related content.
We may improve, modify, replace or discontinue features for technical, security, legal or commercial reasons. We will seek to avoid unnecessary disruption and will provide notice of material changes where reasonably practicable or legally required. We do not guarantee compatibility with every Shopify theme, third-party application or future platform update.
4. Subscriptions, trials and charges
Orion Blend and Orion Blog are paid applications. The price, billing period and terms of any available free trial are displayed in the applicable Shopify App Store listing and Shopify plan-selection or billing approval flow before a charge is authorised. The commercial terms shown in that flow govern the amount and timing of the charge.
Applicable subscription charges are administered using Shopify-supported billing arrangements. Shopify may collect payments, apply taxes and display charges on your Shopify billing statement according to its processes and your account terms.
You are responsible for reviewing and approving your selected plan. Available Shopify and App controls allow you to manage or cancel it. Cancellation or uninstalling may end access to paid functionality. Charges already incurred and refund requests are addressed under applicable Shopify billing arrangements, mandatory law and the circumstances of the request. Contact support@orionapps.co.uk with billing concerns.
5. Merchant responsibilities
You are responsible for the operation of your store, the content you publish, the rights and consents necessary to use that content, your customer communications, and compliance with laws applicable to your business. You should check how changes made through an App appear on the live storefront before publishing them.
You must not use an App to infringe intellectual-property or privacy rights, introduce malicious code, interfere with other stores or our systems, probe unauthorised accounts, or circumvent technical restrictions or payment requirements.
6. Your content and configuration
You retain ownership of content and materials you provide or make available through your Shopify store. You authorise Orion to access and use that content only as reasonably necessary to operate the features you choose, provide support and fulfil our legal obligations, subject to our Privacy Policy.
You are responsible for maintaining copies of important store content and configurations where appropriate. An App is not a replacement for your own backup or business-continuity arrangements.
7. Intellectual property
Orion and its licensors retain ownership of the Apps, source code, interfaces, documentation, branding and other materials belonging to them. Subject to these Terms and any applicable paid subscription, we grant you a limited, non-exclusive, non-transferable right to use the relevant App for your own Shopify business while access remains authorised.
No ownership of Orion intellectual property transfers to you, and you must not copy, resell, reverse engineer or redistribute the Apps except where law expressly permits.
8. Service availability and support
We aim to provide a reliable service, but availability and operation depend partly on Shopify, your theme, internet connectivity and other systems outside our control. We may need to perform maintenance or respond to incidents. We do not promise uninterrupted or error-free operation.
For assistance with installation, functionality, accessibility or billing, contact support@orionapps.co.uk and include your store domain and the affected App. Do not send account passwords, access tokens or payment card details.
9. Privacy and security
We handle personal information as described in our Privacy Policy. You remain responsible for your Shopify account security and for the privacy notices and consents relevant to your own storefront and customers.
We may take proportionate action to protect the Services, including restricting abusive or unauthorised activity. Where practicable, we will explain material access restrictions and provide a route to contact support.
10. Termination and consequences
You may stop using an App and uninstall it through Shopify. We may suspend or end access if you materially breach these Terms, if continued operation would create a security or legal risk, or if required payment authorisation is not in place.
Following termination, your licence to use the affected App ends. Storefront changes and stored configuration may require action in the Shopify Theme Editor. Personal information is handled according to our Privacy Policy and applicable deletion requirements; certain records may be retained when legally justified.
11. Warranties and liability
We will provide the Services with reasonable care and skill appropriate to a business software service. Because an App operates within a wider technical environment, we cannot warrant that every store, theme or integration will behave identically or that service will always be available.
To the extent permitted by applicable law, Orion is not liable for losses that are indirect or consequential, including lost profits, lost revenue or business interruption, where such losses are not a reasonably foreseeable result of our breach. Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.
12. Governing law and disputes
These Terms are governed by the laws of England and Wales, subject to any mandatory protections that apply under relevant law. The courts of England and Wales will have jurisdiction over disputes arising from these Terms, except where mandatory law provides otherwise. Before starting formal proceedings, we encourage you to contact us so we can try to resolve the matter reasonably.
13. Changes to these Terms
We may update these Terms to reflect changes to the Services, legal requirements or how the Apps operate. We will update the date above, and provide additional notice where required. Continuing to use an App after a revised version applies constitutes acceptance to the extent permitted by law.
